Ontic AI Usage Terms and Conditions

These Ontic AI Usage Terms and Conditions (“AI Terms“) govern Client’s access to and use of any AI Features (defined below) within the Ontic platform (the “Subscription Services”), unless the parties have expressly agreed to AI-specific terms in the Agreement or a subsequent AI addendum that state they supersede these AI Terms, in which case those terms will control. These AI Terms supplement and form a part of the master services agreement or other agreement governing Client’s use of the Subscription Services (the “Agreement“) by and between Ontic Technologies, Inc. (“Ontic“) and the entity on whose behalf the Subscription Services are accessed (“Client“). By logging into, accessing, or using the AI Features, Client agrees to be bound by these AI Terms. The individual accepting these AI Terms represents that they are authorized to bind Client, and if such individual lacks that authority or Client does not agree to these AI Terms, Client must not access or use the AI Features. To the extent the Subscription Services consist of, or include the use, design or development of Artificial Intelligence (defined below), the terms and conditions set forth in these AI Terms shall apply. Except where the parties have separately agreed to AI terms as described above, in which case those separately agreed terms shall control, in the event of any conflict between the provisions of the Agreement and these AI Terms, these AI Terms shall govern with respect to Artificial Intelligence.
These terms will not apply to any client that does not access or use Ontic’s AI features.
1. Definitions
Capitalized terms used but not defined herein have the meaning set forth in the Agreement. In addition, the following capitalized terms have the meaning set forth below:
1.1 “AI Feature” means any feature of the Subscription Services that leverages or incorporates Artificial Intelligence, whether developed internally by Ontic or licensed to Ontic by a third party.
1.2 “Artificial Intelligence” or “AI” means a machine-based system that, for a given set of human-defined objectives, generates predictions, recommendations, or outputs to support human decision-making, where such outputs influence real or virtual environments.
2. AI Terms
2.1 Training. To the extent Ontic uses Client Data processed through AI Features to train, retrain, fine-tune, improve, or enhance the AI Features, such use will be solely for Client’s benefit and Ontic will not use Client Data to train, retrain, fine-tune, or validate the AI models for Ontic’s general benefit or for the benefit of other Ontic clients. Ontic will not permit Client Data to be used to train, retrain, fine-tune, or validate any third-party AI technology, unless expressly authorized by Client.
2.2 AI Outputs. Client acknowledges that outputs of the AI Features may incorporate or be derived from Data Feeds, and Ontic does not convey to Client any ownership interest in the Data Feeds or any outputs to the extent they constitute derivative works of the Data Feeds. Client acknowledges that AI Features generate probabilistic outputs that may be inaccurate, incomplete, or unreliable, and Client is responsible for independently reviewing all AI Feature outputs before relying on them or taking any action based on them. Ontic makes no representation or warranty as to the accuracy, completeness, or suitability of any outputs of the AI Features for any particular purpose.
2.3 Compliance. Ontic shall use commercially reasonable efforts to comply with applicable laws and generally accepted artificial intelligence industry standards in connection with its development and use of AI Features.
3. General
Ontic may modify these AI Terms from time to time in its discretion by posting the updated AI Terms at the location where they are made available. The updated AI Terms will be effective upon posting, or on such later date as Ontic may specify. This Section does not apply to any AI-specific terms separately agreed by the parties as described above, which may be amended only as provided in the applicable Agreement or AI addendum.
